Conditions – We accept orders only in accordance with the following terms. Any form of acceptance by Aktiv Solutions shall be subject to the terms and conditions laid out in this document only.
Data Confidentiality - Any data sent to Aktiv Solutions will be treated with the upmost respect. At your request data can either be archived or destroyed.
Quotations – Quotations will be prepared from the information in our possession. If further information is provided after the date of our quotation, we reserve the right to re-estimate the price and delivery time.
Quotations unless previously withdrawn or superseded shall be valid for a period of 28 days from the date shown on the quotation. No order shall be deemed accepted unless the seller’s written acknowledgement and acceptance has been received.
Prices – Prices quoted do not include VAT, this will be added at the time of invoicing.
Terms of Payment – Payment to be made within 30 days of delivery of services, unless otherwise stated on the quotation or alternative terms have been agreed with Aktiv Solutions.
Delivery – We accept no responsibility of damage or loss arising from delay in delivery
Delivery dates are not guaranteed.
Cost of Debt Recovery – The customer accepts that all costs incurred in the recovery of any outstanding monies owed to Aktiv Solutions will be passed on to the customer.
General Liability – Aktiv Solutions undertake to provide services in conformity with the drawings, electronic data, or other instructions and specifications submitted by the customer or prepared by us for the customer and approved by the customer. Work resulting from alterations in design or specification will be subject to an additional charge.
Aktiv Solutions accept no responsibility for damage or consequent loss arising from mishandling or misuse of the services we provide.
Aktiv Solutions liability for loss, damage or injury arising out of defect or failure of the services provided, is limited to the correction of those services by our own personnel, providing that the defect arises from faulty workmanship solely attributable to us. It is up to the customer to ascertain that the services supplied by Aktiv Solutions are suitable for his needs before using those services. Such defects found in the services supplied by Aktiv Solutions must be notified to us in writing within ten days of the delivery of the services to which the complaint relates after which period
Aktiv Solutions liability will cease.
Recommendations made by Aktiv Solutions concerning use or applications of the services supplied are believed to be reliable but Aktiv Solutions make no warranty of the results. Customer’s property will be held entirely at the customer’s risk. When data is supplied by the customer expense arising from the defect or unsuitability of the data will be charged. Aktiv Solutions will not be liable for any sampling, testing. Measuring or inspection charges that the customer or his agent may incur.
Aktiv Solutions will endeavour to store for a period of six months after the completion of any work or project all relevant electronic information generated as part of the process of supplying services to the customer, at any time after that all relevant electronic information may be destroyed at the discretion of Aktiv Solution. No liability for the loss of any information stored, whether the loss is caused by accident or error will be accepted. Copies of the information generated during the production of services may be supplied to the customer at the discretion of Aktiv Solutions.
Such copies may be charged for.
Aktiv Solutions reserves the right not to disclose techniques, know how, and processes used during the production of services.
Provided that the work has been paid for in full, the customer can request that all the information regarding the customers work or project to be deleted and no technical records kept of that work by Aktiv Solutions. The customer will be required to give a written indemnity to Aktiv Solutions releasing us from further responsibility for that work/technical records. Any such actions requested by the customer may be charged for.
Cancellation or Suspension – Orders accepted by Aktiv Solutions can be cancelled or suspended only with our written consent. The customer will be liable for all expenditure incurred and on terms which indemnify us against all loss, including loss of contribution for underused capacity.
Transfer of Orders – Our liability is restricted solely to the customer from whom we accept an order.
Circumstances Beyond Our Control – We shall not be liable for any failure to fulfil obligations under this contract if such failings are attributed to circumstances beyond our control.
Arbitration – At the written request of either party, dispute or difference arising from the contract shall be referred to an arbitrator mutually agreed by both parties.
Transfer of Title in Goods – The property in the goods shall not pass to the customer but shall remain vested in Aktiv Solutions either :
- Until all sums of money owing to Aktiv Solutions on whatsoever grounds shall have been paid (and until such time the customer shall hold the goods as bailee for Aktiv Solutions and shall not alter the goods but shall retain the goods in such a manner that the same can be recognised as the property of Aktiv Solutions).
or
- Until at the discretion of Aktiv Solutions sent in writing to the customer at their last known address shall pass the property in the goods to the customer.
Law – These terms and all other conditions of the contract shall be governed in accordance with the laws of England.
